Terms of Service

These Terms of Service ("Terms") govern access to and use of the Orentiaapplication and related services (the "Service") operated by Orentia. By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
During the Canada pilot, the Service may be offered at no charge. Features and availability may change as we iterate with early customers.
1. The Service
Orentia provides workforce scheduling, availability management, time-off workflows, notifications, and related operational tools for teams such as pharmacies and retail locations. We may add, change, or remove features with reasonable notice where practicable.
2. Accounts and roles
Organizations assign roles (owner, manager, employee) with different permissions. You agree to:
- Provide accurate registration information and keep credentials confidential.
- Use the Service only through accounts and roles assigned to you.
- Notify your organization or us promptly if you suspect unauthorized access.
3. Acceptable use
You must not:
- Violate applicable laws, including privacy, employment, and anti-spam rules.
- Upload malware, attempt to breach security, or interfere with the Service.
- Store patient health information, prescription details, or other PHI in the Service.
- Harass others, impersonate individuals, or use the Service for unrelated commercial spam.
- Reverse engineer or resell the Service except as expressly permitted.
4. Customer data
Your organization controls workforce data entered into the Service. You grant us a limited license to host, process, and display that data solely to provide and improve the Service, as described in our Privacy Policy.
You are responsible for obtaining any consents required from your staff and for the accuracy of schedules and records you maintain.
5. Pilot availability
The Service is provided on an "as available" basis during the pilot. We strive for high reliability but do not guarantee uninterrupted access. Planned maintenance and emergency fixes may occur without prior notice.
6. Fees
Pilot access may be free. If we introduce paid plans later, we will provide pricing and billing terms before charges apply. Taxes may apply where required by law.
7. Intellectual property
We retain all rights in the Service, software, branding, and documentation. You retain rights in your organization's data. Feedback you provide may be used to improve the Service without obligation to you.
8. Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.Orentia IS NOT A PAYROLL, HR COMPLIANCE, OR CLINICAL SYSTEM.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORENTIA AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) CAD $100.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.
10. Indemnity
You will defend and indemnify us against claims arising from your misuse of the Service, your organization's data (including PHI improperly entered), or your violation of these Terms, except to the extent caused by our gross negligence or willful misconduct.
11. Suspension and termination
We may suspend or terminate access for violations of these Terms, security risks, or non-payment when applicable. You may stop using the Service at any time. Provisions that by nature should survive (liability limits, indemnity, governing law) will survive termination.
12. Governing law
These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-law rules. Courts in Ontario shall have exclusive jurisdiction, except where consumer protection rules require otherwise.
13. Changes
We may update these Terms. Material changes will be posted with an updated effective date. Continued use after changes constitutes acceptance where permitted by law.
